The Taisho Group’s Compliance and Ethics Whistleblowing Line is a secure and confidential channel for reporting any inappropriate behavior or non-compliance with applicable procedures, laws, or regulations.
Taisho Compliance and Ethics Whistleblowing Line
Who can use the Compliance and Ethics Whistleblowing Line? Access is granted to:
- All current and former employees of UPSA and the Taisho Group, including external personnel (intermediaries, consultants, service providers), and temporary staff
- All current and former employees of third parties working with UPSA and the Taisho Group (suppliers, clients, etc.)
The Taisho Compliance and Ethics Whistleblowing Line is managed and maintained by an external company, TSUHO Support Center EU. This system ensures anonymity, protection of whistleblowers, and compliance with personal data regulations.
What types of events may be reported?
All Taisho employees may use the whistleblowing line to report misconduct or non-compliance with laws, regulations, or procedures, in areas such as:
- Accounting or audit issues
- Offering or accepting bribes; anti-trust violations
- Conflicts of interest
- Discrimination; harassment
- Embezzlement; fraud
- Breach of environmental, health, or safety regulations
- Forgery or alteration of contracts, reports, or records
- Data falsification
- Insider trading
- Acts of sabotage or destruction
- Theft
- Physical aggression, intimidation
- Violations of whistleblower protection, cooperation safeguards, or personal data rights
- Breach of internal rules leading to any of the above behavior
How to access the Taisho Compliance and Ethics Whistleblowing Line
The platform is available online at: https://whistle-eu.com/tsuho
The service is open 24/7 in multiple languages including French, English, Dutch, German, Italian, and Japanese. A shared password for UPSA is required during submission registration: UPSA81056
Non-retaliation policy
Whistleblowers cannot be sanctioned, dismissed, or subjected to any direct or indirect discriminatory measure for reporting an incident in good faith, even if the allegations are later found to be inaccurate or unfounded. However, misuse of this system may lead to disciplinary measures or legal action.
Conversely, there is no obligation to use the whistleblowing system, and no penalty shall be imposed on any employee who chooses not to do so.
In accordance with Article 225-1 of the French Penal Code, no discriminatory action may be taken against an employee due to their status as a whistleblower, facilitator, or related party.
What happens after a report is submitted?
If the report is objective and relevant to the scope of this system, it may result in a confidential report by the external provider to Taisho Pharmaceutical Co., Ltd.’s Internal Affairs Department.
Depending on the case, Taisho may conduct an investigation or request UPSA’s Compliance and Legal Departments to do so. The findings will be shared with the whistleblower.
Data confidentiality and security
Partnering with TSUHO Support Center EU ensures full data confidentiality and the objective handling of reports. For UPSA SAS, this system complies with the French Sapin II Law. All data collected through the system is processed in accordance with the EU General Data Protection Regulation (GDPR).
